1. DEFINITIONS AND INTERPRETATION

For purposes of these Terms and Conditions ("Terms"), the following definitions apply and shall

be interpreted in the broadest manner possible to provide maximum protection to Ohmic Charge:

"Ohmic Charge," "Company," "we," "us," or "our" refers to Ohmic Charge at Home, LLC, a limited

liability company organized under the laws of Wyoming, including all subsidiaries, affiliates,

successors, and assigns.

"Platform" refers to all technology, software, websites, mobile applications, services, and

related infrastructure operated by Ohmic Charge, including but not limited to the marketplace

connecting electric vehicle charging station hosts with electric vehicle drivers.

"User," "you," or "your" refers to any individual or entity that accesses, uses, or interacts with

the Platform in any manner, including Hosts, Drivers, visitors, and any other parties.

"Host" refers to any User who lists, offers, or makes available electric vehicle charging stations,

electrical outlets, or charging infrastructure through the Platform.

"Driver" refers to any User who searches for, books, reserves, or uses electric vehicle charging

stations listed on the Platform.

"Station" refers to any electric vehicle charging equipment, electrical outlet, charging

infrastructure, or related facilities listed or made available through the Platform.

"Charging Information" refers to all data, information, and analytics related to electric vehicle

charging activities, including but not limited to charging session duration, energy consumption,

charging patterns, usage statistics, performance metrics, and any other charging-related data.

"Location Data" refers to all geographic, positioning, and location-based information, including

but not limited to GPS coordinates, addresses, proximity data, movement patterns, travel routes,

and any other location-related information.

"Content" refers to all text, graphics, images, software, audio, video, data, information, or other

materials available through or submitted to the Platform.

"Services" refers to all services provided by Ohmic Charge, including marketplace facilitation,

payment processing, data collection and analysis, customer support, and any other services offered through the Platform.

2. ACCEPTANCE OF TERMS AND BINDING AGREEMENT

By accessing, browsing, using, or interacting with the Platform in any manner whatsoever, you

unconditionally acknowledge, agree, and consent to be legally bound by these Terms, our

Privacy Policy, and all applicable policies and guidelines. Your use of the Platform constitutes

your electronic signature and binding acceptance of these Terms.

If you do not agree to these Terms in their entirety, you are strictly prohibited from accessing or

using the Platform and must immediately cease all use. Continued use of the Platform after any

modifications to these Terms constitutes your acceptance of such modifications.

These Terms create a legally binding agreement between you and Ohmic Charge and

supersede all prior agreements, understandings, or communications between the parties

regarding the subject matter herein.

3. PLATFORM DESCRIPTION AND COMPANY ROLE LIMITATIONS

Ohmic Charge operates as a technology platform and marketplace that facilitates connections between Hosts and Drivers. Our role is strictly limited to providing technology services and

marketplace functionality.

CRITICAL DISCLAIMERS:

OHMIC CHARGE IS NOT AND DOES NOT:

- Own, operate, control, manage, or maintain any charging stations, properties, or vehicles

- Act as a real estate broker, agent, insurer, escrow agent, or fiduciary

- Provide charging services directly or guarantee the availability of charging stations

- Inspect, test, certify, or warrant any charging equipment or installations

- Verify the identity, credentials, or background of Users

- Guarantee the safety, condition, or functionality of any charging stations or properties

OHMIC CHARGE'S ROLE IS LIMITED TO:

- Providing Platform technology and marketplace services

- Facilitating connections between Hosts and Drivers

- Processing payments as a limited agent for Hosts

- Collecting and analyzing Charging Information and Location Data

- Providing customer support and dispute resolution assistance

IMPORTANT: OHMIC CHARGE IS NOT A PARTY TO ANY AGREEMENTS,

TRANSACTIONS, OR RELATIONSHIPS BETWEEN HOSTS AND DRIVERS. ALL

CHARGING SERVICES ARE PROVIDED BY INDEPENDENT THIRD-PARTY HOSTS.

4. DATA COLLECTION, USE, AND COMPANY RIGHTS

4.1 Comprehensive Data Collection Authorization

By using the Platform, you expressly authorize and grant Ohmic Charge the unrestricted right to

collect, access, use, store, process, analyze, and monetize all data and information related to

your use of the Platform, including but not limited to:

Charging Information:

- Complete charging session data including start/end times, duration, energy

consumption, charging speeds, and efficiency metrics

- Vehicle charging patterns, preferences, and behavioral analytics

- Charging station performance data, usage statistics, and operational metrics

- Payment information, pricing data, and transaction details

- Equipment compatibility data and technical specifications

Location Data:

- Real-time and historical GPS coordinates and positioning information

- Travel routes, movement patterns, and destination analytics

- Proximity data to charging stations and other points of interest

- Geographic usage patterns and location-based behavioral analytics

- Address information and property location data

User Information:

- Account registration data, profile information, and contact details

- Device information, IP addresses, and technical identifiers

- Usage patterns, preferences, and Platform interaction data

- Communication records and customer support interactions

- Payment information and financial transaction data

4.2 Broad Data Usage Rights

Ohmic Charge may use all collected data for any lawful business purpose, including but not

limited to:

- Platform operation, maintenance, and improvement

- User matching, recommendations, and personalized services

- Analytics, research, and business intelligence

- Marketing, advertising, and promotional activities

- Safety, security, and fraud prevention

- Regulatory compliance and legal obligations

- Commercial exploitation and monetization

- Sharing with business partners, affiliates, and third parties

- Creating aggregated, anonymized, or derivative data products

4.3 Location Data Specific Rights

You specifically authorize Ohmic Charge to:

- Continuously collect and monitor your location information

- Track your movement patterns and travel behaviors

- Analyze your location data for commercial purposes

- Share location information with Hosts, business partners, and third parties

- Use location data for targeted advertising and marketing

- Create location-based analytics and data products

- Retain location data indefinitely for business purposes

4.4 Data Retention and Ownership

Ohmic Charge retains perpetual ownership and rights to all data collected through the Platform.

Data may be retained indefinitely for business, legal, and operational purposes. You waive any

claims to ownership or control over data generated through your use of the Platform.

5. USER ELIGIBILITY AND ACCOUNT REQUIREMENTS

5.1 Eligibility Requirements

To use the Platform, you must:

- Be at least 18 years of age and have legal capacity to enter binding agreements

- Provide accurate, complete, and current information during registration

- Maintain only one active account per individual or entity

- Comply with all applicable laws, regulations, and Platform policies

- Accept full responsibility for all activities under your account

5.2 Account Security and Responsibility

You are solely responsible for:

- Maintaining the confidentiality and security of your account credentials

- All activities, transactions, and communications occurring under your account

- Immediately notifying Ohmic Charge of any unauthorized account access

- Ensuring the accuracy and completeness of all account information

- Complying with all Platform policies and these Terms

5.3 Account Verification and Monitoring

Ohmic Charge reserves the right to:

- Verify your identity and any information you provide

- Conduct background checks and identity verification procedures

- Monitor account activity for compliance and security purposes

- Request additional documentation or information at any time

- Suspend or terminate accounts that fail verification requirements

6. MAXIMUM LIABILITY LIMITATIONS AND DISCLAIMERS

6.1 Complete Disclaimer of Warranties

THE PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE"

WITHOUT WARRANTIES OF ANY KIND. OHMIC CHARGE EXPRESSLY DISCLAIMS ALL

WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING

BUT NOT LIMITED TO:

- WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,

AND NON-INFRINGEMENT

- WARRANTIES OF ACCURACY, RELIABILITY, OR COMPLETENESS OF

INFORMATION

- WARRANTIES OF UNINTERRUPTED OR ERROR-FREE OPERATION

- WARRANTIES OF SECURITY OR PRIVACY PROTECTION

- WARRANTIES REGARDING THIRD-PARTY SERVICES OR CONTENT

6.2 Comprehensive Liability Limitations

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OHMIC CHARGE SHALL NOT BE LIABLE

FOR ANY DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO:

Direct Damages:

- Property damage, personal injury, or death

- Vehicle damage or charging system malfunctions

- Financial losses, lost profits, or business interruption

- Data loss, corruption, or unauthorized access

- Service interruptions or Platform unavailability

Indirect and Consequential Damages:

- Lost opportunities, reputation damage, or goodwill impairment

- Punitive, exemplary, or special damages

- Incidental or consequential damages of any nature

- Damages arising from third-party actions or omissions

- Any damages exceeding the total fees paid to Ohmic Charge in the preceding 12

months

6.3 Third-Party Liability Disclaimers

OHMIC CHARGE DISCLAIMS ALL LIABILITY FOR:

- The conduct, actions, or omissions of Hosts, Drivers, and other Users

- The condition, safety, or functionality of charging stations and equipment

- Property damage, theft, vandalism, or criminal activity

- Disputes, conflicts, or disagreements between Users

- Third-party services, websites, or applications

- Government actions, regulatory changes, or force majeure events

6.4 Assumption of Risk

BY USING THE PLATFORM, YOU EXPRESSLY ASSUME ALL RISKS ASSOCIATED WITH:

- Electric vehicle charging activities and equipment use

- Access to and use of third-party properties and facilities

- Interactions with other Users and third parties

- Data transmission and storage

- Platform functionality and availability

- Any other activities related to Platform use

7. USER INDEMNIFICATION OBLIGATIONS

7.1 Comprehensive Indemnification

You agree to indemnify, defend, and hold harmless Ohmic Charge, its officers, directors,

employees, agents, affiliates, successors, and assigns from and against any and all claims,

demands, actions, damages, losses, costs, and expenses (including reasonable attorneys' fees

and court costs) arising from or relating to:

Your Use of the Platform:

- Any violation of these Terms or Platform policies

- Any breach of your representations, warranties, or obligations

- Your negligent or wrongful acts or omissions

- Your violation of any applicable laws or regulations

Property and Equipment Related Claims:

- Any damage to charging stations, equipment, or property

- Any defects, malfunctions, or safety hazards in your equipment or property

- Any failure to maintain safe conditions or comply with safety requirements

- Any electrical, fire, or other hazards arising from your activities

Third-Party Claims:

- Any disputes, conflicts, or disagreements with other Users

- Any claims by property owners, neighbors, or other third parties

- Any regulatory violations or compliance failures

- Any discrimination, harassment, or civil rights violations

Data and Privacy Claims:

- Any unauthorized disclosure or misuse of personal information

- Any data breaches or security incidents involving your systems

- Any violations of privacy laws or regulations

- Any claims related to data collection or processing activities

7.2 Indemnification Procedures

Upon notice of any claim subject to indemnification, you agree to:

- Immediately assume control and responsibility for the defense

- Retain qualified legal counsel at your expense

- Cooperate fully with Ohmic Charge in the defense

- Not settle any claim without Ohmic Charge's prior written consent

- Pay all damages, costs, and expenses arising from the claim

8. TERMINATION AND SUSPENSION RIGHTS

8.1 Ohmic Charge Termination Rights

Ohmic Charge reserves the absolute right to immediately suspend, terminate, or restrict your

access to the Platform at any time, with or without cause, and with or without notice, including

but not limited to:

Violations and Misconduct:

- Any violation of these Terms or Platform policies

- Any fraudulent, deceptive, or illegal activities

- Any conduct that threatens the safety or security of the Platform or Users

- Any harassment, discrimination, or abusive behavior

Compliance and Legal Issues:

- Failure to comply with applicable laws or regulations

- Regulatory investigations or legal proceedings involving you

- Failure to maintain required insurance coverage or permits

- Any activities that create legal or regulatory risks for Ohmic Charge

Operational and Business Reasons:

- Failure to maintain accurate account information

- Inactivity or abandonment of your account

- Business decisions regarding Platform operations

- Any reason deemed appropriate by Ohmic Charge in its sole discretion

8.2 Effect of Termination

Upon termination or suspension:

- Your access to the Platform will be immediately revoked

- All pending bookings and transactions may be cancelled

- You remain liable for all obligations incurred prior to termination

- Ohmic Charge may retain your data and information indefinitely

- All indemnification and liability limitation provisions survive termination

8.3 No Compensation for Termination

You acknowledge that Ohmic Charge has no obligation to provide compensation, refunds, or

other remedies in connection with any termination or suspension of your account or access to

the Platform.

9. DYNAMIC PRICING AND PAYMENT TERMS

9.1 Pricing Authority and Flexibility

Ohmic Charge reserves the absolute right to establish, modify, and adjust all pricing, fees, and

charges at any time, with or without notice, including but not limited to:

Dynamic Pricing Factors:

- Local market conditions and demand patterns

- Time of day, day of week, and seasonal variations

- Geographic location and regional pricing differences

- Charging station availability and utilization rates

- Energy costs and utility pricing fluctuations

- Regulatory requirements and tax obligations

Fee Structure Authority:

- Platform service fees and transaction charges

- Host commission rates and payment processing fees

- Driver booking fees and convenience charges

- Premium service fees and feature access charges

- Cancellation fees and penalty charges

- Any other fees deemed appropriate by Ohmic Charge

9.2 Pricing Modification Rights

Ohmic Charge may modify pricing and fees:

- Immediately and without prior notice

- Based on real-time market conditions and demand

- Differently for different Users, locations, or circumstances

- Through automated algorithms and dynamic pricing systems

- For any reason deemed appropriate by Ohmic Charge

9.3 Payment Obligations

Users agree to pay all applicable fees, charges, and costs, including:

- All fees in effect at the time of service usage

- Any additional fees or charges imposed after service completion

- All taxes, duties, and governmental charges

- Collection costs and attorneys' fees for unpaid amounts

- Interest on overdue amounts at the maximum legal rate

9.4 Payment Processing Rights

Ohmic Charge is authorized to:

- Process payments through any payment method on file

- Charge payment methods for any amounts owed

- Collect payments on behalf of Hosts as a limited agent

- Retain service fees and charges from all transactions

- Pursue collection of unpaid amounts through any legal means

10. INTELLECTUAL PROPERTY RIGHTS

10.1 Ohmic Charge Intellectual Property

All intellectual property rights in the Platform, including but not limited to software, trademarks,

service marks, logos, trade names, copyrights, patents, trade secrets, and proprietary

information, are owned exclusively by Ohmic Charge or its licensors.

10.2 User Content License

By submitting any content to the Platform, you grant Ohmic Charge a perpetual, irrevocable,

worldwide, royalty-free, non-exclusive license to use, reproduce, modify, adapt, publish,

translate, distribute, and display such content for any purpose.

10.3 Intellectual Property Protection

You agree not to:

- Infringe upon Ohmic Charge's intellectual property rights

- Use Ohmic Charge trademarks or logos without permission

- Reverse engineer, decompile, or disassemble Platform software

- Create derivative works based on the Platform

- Remove or alter any proprietary notices or markings

11. PROHIBITED CONDUCT AND ENFORCEMENT

11.1 Prohibited Activities

Users are strictly prohibited from:

- Violating any applicable laws, regulations, or these Terms

- Engaging in fraudulent, deceptive, or illegal activities

- Interfering with Platform operations or security

- Harassing, threatening, or discriminating against other Users

- Posting false, misleading, or inappropriate content

- Attempting to circumvent Platform security measures

- Using the Platform for unauthorized commercial purposes

11.2 Enforcement Actions

Ohmic Charge may take any enforcement action deemed appropriate, including:

- Removing or modifying User content

- Suspending or terminating User accounts

- Reporting violations to law enforcement

- Pursuing legal action for damages

- Implementing technical measures to prevent violations

12. DISPUTE RESOLUTION AND LEGAL PROCEEDINGS

12.1 Mandatory Arbitration

Any dispute arising from or relating to these Terms or the Platform shall be resolved through

binding arbitration administered by the American Arbitration Association under its Commercial

Arbitration Rules. The arbitration shall take place in [Insert City, State].

12.2 Class Action Waiver

YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE

ARBITRATIONS AGAINST OHMIC CHARGE.

12.3 Limitation of Actions

Any claim must be brought within one (1) year of the date the cause of action arose, or such

claim shall be permanently barred.

13. FORCE MAJEURE

Ohmic Charge shall not be liable for any failure or delay in performance due to circumstances

beyond our reasonable control, including natural disasters, government actions, pandemics,

power outages, internet failures, or other force majeure events.

14. GENERAL PROVISIONS

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of

Wyoming, without regard to conflict of law principles.

14.2 Jurisdiction and Venue

Any legal proceedings shall be brought exclusively in the state and federal courts located in

Sheridan County, Wyoming.

14.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall

remain in full force and effect.

14.4 Entire Agreement

These Terms constitute the entire agreement between the parties and supersede all prior

agreements and understandings.

14.5 Modifications

Ohmic Charge may modify these Terms at any time by posting updated Terms on the Platform.

Continued use constitutes acceptance of modifications.

14.6 Assignment

Ohmic Charge may assign these Terms without restriction. You may not assign these Terms

without our written consent.

14.7 Waiver

No waiver of any provision shall be deemed a waiver of any other provision or subsequent

breach.
